Please read these Terms of Service ("Terms") carefully before using the SHIN B2B Online Store and any related services operated by Sumitomo Electric Hardmetal India Pvt. Ltd. ("SHIN", "we", "us", or "our"). By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, you must not use our services.
1. Eligibility and Account Registration
Access to the SHIN B2B platform is restricted to registered business entities operating in India. By registering, you represent that:
- You are a business (sole proprietor, partnership, LLP, or company) duly registered under Indian law
- You have a valid GSTIN where applicable
- You are authorised to enter into binding agreements on behalf of your organisation
- All registration information you provide is accurate and current
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
2. Orders and Acceptance
All orders placed through the platform constitute an offer to purchase products subject to SHIN's acceptance. An order is confirmed only upon issuance of a written order confirmation or tax invoice by SHIN. We reserve the right to decline or cancel any order at our discretion, including in cases of pricing errors, stock unavailability, or suspected fraudulent activity.
3. Pricing and GST
All prices displayed on the platform are exclusive of applicable Goods and Services Tax (GST) unless otherwise stated. GST will be charged at the rate applicable at the time of supply, as per the Central Goods and Services Tax Act, 2017. SHIN issues GST-compliant tax invoices for all transactions. Price changes may occur without prior notice; the price applicable is the one confirmed in your order acknowledgement.
4. Payment Terms
Payment terms are as agreed in your B2B credit arrangement with SHIN. Unless a credit account has been established, payment is due in full prior to dispatch. We accept NEFT/RTGS bank transfers and authorised payment gateway transactions. Invoices not paid by their due date may attract interest at 18% per annum and suspension of account access.
5. Delivery and Title
Delivery timelines are indicative and may vary based on product availability and logistics conditions. Risk of loss transfers to the buyer upon handover to the carrier. Title to goods passes to the buyer only upon receipt of full payment. SHIN is not liable for delays caused by force majeure events, logistics disruptions, or factors beyond our reasonable control.
6. Returns, Warranty, and Claims
Products sold are covered by SHIN's standard product warranty against manufacturing defects. Claims must be raised within 7 days of receipt of goods, accompanied by photographic evidence and the original invoice. Consumable cutting tools that have been used, damaged through improper handling, or modified are excluded from warranty. Returns require prior written authorisation from SHIN.
7. Intellectual Property
All content on the SHIN platform — including product images, technical data sheets, catalog PDFs, trademarks, and software — is the proprietary intellectual property of SHIN or Sumitomo Electric Industries, Ltd. and its licensors. You may not reproduce, redistribute, or create derivative works from any content without our prior written consent. Nothing in these Terms grants you any licence to use our trademarks.
8. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of applicable Indian laws
- Attempt to gain unauthorised access to any part of the platform or its underlying systems
- Scrape, crawl, or harvest data from the platform by automated means
- Resell products purchased on the platform without SHIN's prior written authorisation
- Submit false or misleading business registration details
9. Limitation of Liability
To the maximum extent permitted by applicable law, SHIN's total liability for any claim arising out of or related to these Terms or your use of the platform shall not exceed the value of the specific order giving rise to the claim. SHIN shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or business opportunity.
10. Indemnification
You agree to indemnify and hold harmless SHIN, its directors, employees, and affiliates from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the platform, or violation of any third-party rights.
11. Termination
SHIN may suspend or terminate your account at any time if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to access the platform ceases immediately. Outstanding obligations and accrued liabilities survive termination.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts at Navi Mumbai, Maharashtra.
13. Modifications
We may update these Terms at any time. The revised Terms will be posted on this page with an updated date. Your continued use of the platform following any change constitutes your acceptance of the revised Terms.
